Kafener Terms and Conditions

Welcome to Kafener. These Terms and Conditions ("Terms") govern your access to and use of the Kafener website, application, and services (collectively, the "Platform"). By using Kafener, you agree to these Terms.

1. About Kafener & Nature of Service

Kafener is operated by Boone Builders LLC, a company registered in Albany, New York, United States ("Kafener", "we", "us", or "our").

Kafener provides a curated marketplace platform. We facilitate the sale of specialty coffee between independent Thai coffee roasters ("Roasters" or "Sellers") and customers ("Customers"). Kafener is not a coffee roaster, reseller, or logistics provider. We act as a facilitator and limited collection agent for the Roasters.

2. Eligibility & Accounts

• You must be at least 18 years old to use Kafener.
• You are responsible for maintaining accurate account information.
• One account per user unless approved by Kafener.
• You agree to use the Platform only for lawful purposes.

3. Subscriptions & Shipment Queues

• Automatic Renewal: Subscriptions renew automatically until cancelled.
• Modifications: Customers may cancel, pause, or change coffee selections before an order is "Locked." Once an order status is "Locked" for fulfillment by the Roaster, it cannot be cancelled or refunded.
• Roastery Holidays & Blackout Dates: Roasters may periodically set "Blackout Dates" for holidays or maintenance.

- Major Delays (> 5 Days): If a delay exceeds 5 days, Customers will be notified and given the option to (a) Wait for the original selection or (b) Swap for a different coffee from an active Roaster.

• Logistics Buffers: Kafener reserves the right to adjust shipping dates during major Thai holidays (e.g., Songkran, New Year) to protect product freshness and prevent packages from being held in unconditioned logistics hubs.

4. Seller of Record & Product Responsibility

• Seller of Record: The Roaster is the "Seller of Record" for all transactions. All coffee products are sold directly by the Roaster to the Customer.
• Product Liability: Because the Roaster roasts, packages, and fulfills the order, the Roaster is solely responsible for the quality, safety, freshness, and description of the coffee. Kafener disclaims all liability related to the physical product.

5. Shipping & Delivery Fees

• Variable Shipping Rates: Shipping fees are determined and set by the individual Roaster based on their location, weight of the order (e.g., 1-bag vs 2-bag shipments), and preferred courier (e.g., Flash Express, Thai Post).
• Dynamic Calculation: The total cost of each subscription delivery may fluctuate depending on the specific Roaster currently at the top of the Customer’s Shipment Queue.
• Price Snapshots: The shipping rate displayed at the time an order status moves to "Locked" (typically Sundays at 2:00 PM ICT) is the final amount that will be charged. Any subsequent changes to a Roaster's shipping rates will only apply to future, unlocked orders.
• Fulfillment: Roasters are responsible for the timely dispatch of orders via their chosen carrier. Delivery times are estimates provided by the carrier and are not guaranteed by Kafener.

6. Payments & Billing

• Collection Agent: Customers are charged by Kafener via third-party providers (e.g., Stripe). You authorize Kafener to act as a limited collection agent to accept payments from Customers on your behalf.
• Billing Total: Each order charge consists of the (a) Coffee Retail Price and (b) The Roaster's specific Shipping Fee.
• Currency: Transactions are processed in THB.
• Payment Security: Payment details are processed securely and are not stored by Kafener.

Platform Fees & Commission (Founder Incentive Program)

Kafener charges a commission on the coffee retail price only. Shipping fees are passed through to Roasters in full with no commission applied.

Roasters participating in our Founder Incentive Program benefit from tiered commission rates based on lifetime sales volume:

• Tier Progression: Roasters automatically progress through tiers as their lifetime sales increase. Tier changes take effect immediately upon crossing the threshold.
• No Upfront Fees: There are no listing fees, monthly fees, or upfront costs to sell on Kafener.
• Standard Rate: The standard commission rate is 25%. The reduced rates for Founder and Growth tiers represent Kafener's investment in new roaster partners.

Roaster Payouts

• Frequency: Payouts are processed bi-weekly once your balance reaches ฿500.
• Payout Calculation: Roasters receive (Coffee Price × (100% - Commission Rate)) + (100% of Shipping Fee).
• Reimbursements: Kafener shall reimburse Roasters for the specific shipping amount captured from the Customer at the time the order was placed.
• Methods: Payouts are made in THB via local bank transfer or approved provider.
• Transparency: Roasters can view their tier status, lifetime savings, and payout history in their dashboard.

7. Taxation

• Roaster Obligations: Roasters are independent contractors and are solely responsible for all Thai tax obligations, including VAT and income tax, arising from their sales on the Platform.
• Kafener's Role: As a US-based entity, Kafener does not withhold Thai taxes from payouts. Roasters agree to indemnify Kafener against any tax claims made by Thai authorities regarding their sales.

8. LINE Connect & Notifications

Kafener allows both Customers and Roasters to optionally connect their LINE account.

By connecting LINE, you consent to Kafener collecting your LINE user ID via the LINE Messaging API for service-related notifications, including but not limited to:

• Order lock reminders
• Shipping and delivery confirmations
• Waitlist status updates
• Roaster-specific holiday or price change alerts

9. Limitation of Liability

To the maximum extent permitted by law, Boone Builders LLC (Kafener) shall not be liable for any indirect, incidental, or consequential damages resulting from your use of the Platform or the consumption of products purchased through the Platform. Kafener’s total liability for any claim arising from these Terms shall not exceed the total amount paid by the Customer for the specific order giving rise to the claim.

10. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Albany, New York.
